Vendor Agreement for Shopx.lk

This Vendor Agreement (“Agreement”) is made and entered into as of [Date] by and between Marketplace Name, a [State] corporation, with its principal place of business located at [Address], and Vendor Name, a [State] [Entity Type], with its principal place of business located at [Address].

1. Agreement to Sell

1.1 Vendor agrees to sell products (“Products”) on the Marketplace’s platform (“Platform”) in accordance with the terms and conditions of this Agreement.

1.2 Vendor represents and warrants that it has the right to sell the Products and that the sale of the Products does not violate any applicable laws or regulations.

2. Marketplace Services

2.1 Marketplace provides Vendor with access to the Platform, including tools and services to list and sell Products.

2.2 Marketplace will process orders placed by customers on the Platform for Products sold by Vendor.

2.3 Marketplace will handle customer inquiries and disputes related to Products sold by Vendor.

3. Commission

3.1 Vendor agrees to pay Marketplace a commission of 17% of the total sales price of each Product sold through the Platform.

3.2 The commission will be deducted from Vendor’s payments for Products sold.

4. Payment

4.1 Marketplace will pay Vendor for Products sold, less the commission, on a [Payment Schedule, e.g., monthly] basis.

4.2 Payments will be made to Vendor via [Payment Method, e.g., direct deposit, PayPal].

5. Product Listings

5.1 Vendor is responsible for accurately listing Products on the Platform, including providing descriptions, images, pricing, and shipping information.

5.2 Vendor agrees to comply with Marketplace’s listing guidelines and policies.

6. Order Fulfillment

6.1 Vendor is responsible for fulfilling orders placed by customers on the Platform.

6.2 Vendor agrees to ship Products to customers in a timely manner and to provide tracking information for shipments.

7. Returns and Refunds

7.1 Vendor is responsible for handling returns and refunds for Products sold on the Platform.

7.2 Vendor agrees to comply with Marketplace’s return and refund policies.

8. Intellectual Property

8.1 Vendor retains ownership of all intellectual property rights in the Products.

8.2 Vendor grants Marketplace a non-exclusive, worldwide, royalty-free license to use Vendor’s trademarks and logos in connection with the sale of Products on the Platform.

9. Termination

9.1 Either party may terminate this Agreement upon [Number] days’ written notice to the other party.

9.2 Marketplace may terminate this Agreement immediately if Vendor breaches any material term of this Agreement.

10. Governing Law

10.1 This Agreement shall be governed by and construed in accordance with the laws of the State of [State].

11. Entire Agreement  

11.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
